1. DotWin LLC, portfolio coverage and your contracting party
DotWin LLC is a privately held holding company organized as a Wyoming limited liability company, with a home office in Texas and business activities throughout the United States. DotWin LLC owns and manages equity interests in portfolio companies and other business assets, and develops, owns or operates businesses, brands, digital platforms and services directly or through subsidiaries and controlled affiliates. References to the DotWin Portfolio describe this group of holdings and operations; they do not create a separate legal entity.
These Terms cover DotWin LLC and the products, websites, applications, communities, platforms and services offered under Entrepreneurs.win, Businesses.win, CEOS.win, DotWin.win, PlaySolo.Soccer, ARKZ.AI, NOTA.AI, BeyondMom.App and THS.Social, together with their associated brands, mobile applications, portals, subdomains, successor names and related offerings. This list is illustrative, not exhaustive. Portfolio coverage extends to all current and future businesses, brands, platforms, intellectual property and other holdings owned or controlled directly or indirectly by DotWin LLC when their services are offered under these Terms. Newly created, acquired, renamed or reorganized portfolio businesses may adopt these Terms without being individually added to this list. An acquisition does not, by itself, replace an existing customer contract or authorize new charges; applicable notice and acceptance requirements still apply.
Unless the applicable order, checkout or service-specific terms expressly identify a different legal entity as the service provider, your contracting party is DotWin LLC. If a separately organized subsidiary or affiliate is expressly identified as the provider and adopts these Terms, your contract for that offering is with that identified entity. DotWin, we, us and our mean the applicable contracting provider for the service concerned; references specifically to DotWin LLC mean that Wyoming entity. A brand name, website address, shared account or portfolio listing is not, by itself, the name of a separate legal entity or a guarantee by every portfolio company. If the provider is unclear, contact legal@dotwin.win before purchasing.
A subsidiary is a separate entity controlled directly or indirectly by DotWin LLC. An affiliate is an entity that controls, is controlled by, or is under common control with the relevant entity. Control means the power to direct management or policies through ownership, voting rights, contract or otherwise. A portfolio company can also be a business in which DotWin LLC holds a noncontrolling investment. An independently operated or minority-owned business is covered as a contracting provider only when its authorized operator adopts or incorporates these Terms. Customers' businesses, independent partner hosts and unaffiliated vendors do not become DotWin subsidiaries merely by using or supplying our technology.
You means the individual purchasing or using a covered service and the organization that individual is authorized to represent. A person entering a purchase contract or administering a business account must be at least 18, legally able to contract and authorized to bind the organization and authorize payment. Youth profiles, memberships or participation are permitted only through expressly supported arrangements with the required parent, guardian or other lawful authorization and the applicable service-specific rules.
Your accepted checkout, proposal, order form or statement of work identifies the provider where different from DotWin LLC, services, price, billing frequency, included work and any commitment. A separately signed agreement controls a direct conflict; otherwise applicable service-specific terms control their subject matter, the accepted order controls scope and pricing, and these general Terms apply to the remaining matters. Promotional statements do not add deliverables unless included in the accepted order. Our Privacy Policy explains the handling of personal information. Agreement to these Terms or acknowledgment of that policy is not a substitute for any separate consent required for marketing, tracking, sensitive information or children's information.
These Terms apply prospectively to new purchases and affirmative acceptances from the effective date. They do not retroactively remove accrued rights, replace an existing signed agreement or authorize charges to an existing customer who has not agreed to the relevant purchase. Coverage of a brand under these Terms does not itself enroll you in another portfolio service or authorize charges by another portfolio business.
Protected Parties means DotWin LLC, the applicable contracting provider, their subsidiaries and affiliates involved in the covered service, and their respective members, owners, managers, directors, officers, employees, contractors, agents, licensors and service providers, in each case to the extent relevant to the claim or service. They are intended third-party beneficiaries of the confidentiality, intellectual-property, acceptable-use, disclaimer, limitation-of-liability and indemnification protections that expressly or by their nature benefit them. This status does not make a noncontracting party responsible for another entity's performance or expand any protection beyond what applicable law permits.
2. Services, scope and bundled plans
DotWin may supply services individually or bundle hosting, website care, platform access, software, support, domains or other services. Only items expressly included in your accepted order are included. A single bundle price need not equal the retail price of its components. A discount or included period does not make any service free forever, transferable or separately refundable unless the offer says so.
Included maintenance, updates, support hours, usage limits and response targets are those stated in your order. Unused time does not roll over unless agreed in writing. New designs, major revisions, custom integrations, content creation, advertising, email, premium applications, domain renewals, licensed feeds such as IDX, migration out of our service, and third-party fees are separate unless expressly included. We obtain agreement to additional paid work before charging for it.
We may change operational methods and replace tools while continuing the material services purchased. We will not use a bundle substitution to impose an undisclosed recurring fee or materially reduce a prepaid commitment without an appropriate remedy. If we discontinue a paid service without your breach and cannot provide a substantially equivalent replacement, you may cancel that service and receive a proportional refund for the unused prepaid service.
Covered portfolio offerings may include websites and page builders; CRM and client records; quotes, invoices, orders and subscriptions; scheduling and contractor workflows; email, SMS, social publishing and marketing automation; digital cards, referrals and affiliate features; communities, courses and digital content; files, electronic signatures, analytics, AI agents and connected integrations. Access depends on the modules, seats, usage and features included in your accepted plan. Availability of a module in the platform is not a promise that every plan includes it. Beta or experimental features may change or be withdrawn; do not use them as the sole record for critical business operations.
Portfolio services may also include business and executive communities, education and courses, memberships and events, family or parenting resources, sports profiles and recruiting tools, AI assistants, note-taking and knowledge tools, and other digital or professional-support offerings where expressly made available. The presence of a portfolio brand in these Terms does not promise that a feature, product or service is available, included in your plan, licensed for a regulated use or available in every jurisdiction. Shared sign-in or infrastructure does not combine separate subscriptions, entitlements, support commitments or billing obligations unless your order expressly does so.
3. Hosting providers and migration authorization
Subscription hosting may be delivered through the DotWin platform, one or more third-party hosts, or a combination. Providers may include Wix Studio, Simvoly, Square, Shopify, Framer, Vercel and other providers we select. These names identify technologies we may use and do not imply an exclusive relationship or endorsement. Your subscription purchases the managed service described in your order, not a permanent right to a particular host, data center, implementation or vendor account.
You authorize DotWin, at any time during the service term, to move an active site between the DotWin platform and partner or third-party hosts, including between Wix Studio, Simvoly, Square, Shopify and Framer. This authorization includes copying and transferring necessary website files, content, databases and configuration; rebuilding or adapting incompatible features; and changing hosting, DNS, certificates, caching and routing within access you have authorized. We may engage service providers to carry out this work under appropriate confidentiality and data-protection obligations.
We will use reasonable care to preserve material functionality and customer-owned content and to limit disruption. We will give reasonable advance notice of a material planned migration when practicable; urgent security, reliability or provider changes may occur without advance notice. A migration can require propagation time, temporary unavailability, configuration changes or functionally comparable replacements. Exact visual, integration, SEO or performance parity is not guaranteed. We will discuss materially incompatible paid functionality and any additional charges before proceeding with those charges. Migration does not itself change your agreed subscription price or ownership rights.
You will supply timely access, accurate DNS and registrar information, current licenses, and approvals that only you can give. We are not responsible for delays caused by withheld access, locks, expired registrations or a third party's refusal to cooperate. Third-party services remain subject to applicable vendor terms and technical limits. We cannot transfer a license or export proprietary vendor code when the vendor does not permit it.
4. 99% availability target
For an active, fully paid hosting subscription, our operational target is 99% website availability in a calendar month. This is a service target, not a guarantee of uninterrupted access or a separately purchased service-level agreement. Unless your signed order expressly provides credits, this target does not create automatic credits, penalties or refunds. Any mandatory legal remedy remains available.
For this target, availability concerns the public site's ability to respond to ordinary web requests. It does not measure search rankings, sales, email delivery or every individual third-party feature. Target calculations exclude scheduled maintenance, reasonable migration and DNS propagation periods, emergency security work, internet or utility failures outside our reasonable control, third-party outages outside our reasonable control, attacks, force majeure, customer changes or misuse, and access or license failures attributable to the customer.
The target does not apply during suspension, expiration, cancellation, unpaid invoices, failed payments, disputed payments that leave service unfunded, or other periods when your account is not in good standing. Paying an overdue balance does not guarantee immediate restoration; reconnection can depend on provider processing, domain recovery, backups and remediation. We remain responsible for obligations that applicable law does not allow us to exclude.
5. Prices and recurring-payment authorization
Before payment, checkout identifies the initial charge, recurring amount and frequency, and any disclosed introductory period or delayed first renewal. Unless the order says otherwise, monthly subscriptions renew each month and annual subscriptions each year until canceled. Billing starts at the time stated in your order, which may precede launch if hosting, setup or reserved capacity is already being supplied. Applicable taxes and any separately disclosed charges appear before authorization.
By affirmatively authorizing recurring billing at checkout, you authorize DotWin and its payment processor to securely store or tokenize your chosen payment method and charge the disclosed initial amount and recurring amounts at the disclosed intervals, including after an expressly disclosed included or promotional period, until you cancel. This includes authorized off-session renewal charges and reasonable retries of an unsuccessful authorized payment. Your bank or processor may provide updated card details through its account-updater services. We do not receive or store your full card number or card security code.
This authorization covers the subscription you select; it does not authorize undisclosed products, optional add-ons or unrelated debts. A one-time purchase is not a subscription unless future recurring charges are separately disclosed and accepted. A third-party financing plan, if offered, has its own agreement and does not change whether the underlying DotWin service renews. Any bank-debit mandate or other payment-specific authorization is obtained separately where required.
You must keep payment and contact information current. We may give notices and receipts electronically to the email you provide. We retain the accepted policy versions, disclosed billing terms, acceptance timestamp and a screenshot of the agreement panel as transaction evidence. The screenshot excludes payment fields. It records an agreement submission and does not, by itself, prove that a payment completed.
6. Cancellation, renewals and price changes
You may cancel future renewals at any time before the next billing date by emailing billing@dotwin.win from your purchase email with enough information to identify the service, or by using subscription management where available. There is no cancellation fee for an ordinary month-to-month subscription. A timely cancellation request is effective when received, even if our confirmation arrives later. We may reasonably verify identity to protect an account, but will not require unnecessary steps to cancel. We will confirm cancellation electronically.
Unless you request earlier removal, cancellation ordinarily takes effect at the end of the current paid period. It stops future renewals and does not erase fees already earned or a separately accepted fixed-term obligation. Partial periods are not prorated except under our refund policy, the accepted order or applicable law. Stopping use, removing a payment method, blocking a charge, transferring a domain or canceling a third-party product does not necessarily cancel your DotWin subscription; submit the cancellation request to DotWin.
Before a subscription price increase or material reduction takes effect, we will give at least 30 days' notice, or longer where required, and the opportunity to cancel before the changed renewal. We will obtain additional consent where required by law and honor prepaid commitments. We will provide renewal, trial-ending and other reminders when applicable law requires them. Canceling a bundle may end all included services; cancellation of only one component requires a separately available plan and your agreement to its disclosed price.
7. Failed payments, suspension and disputes
If payment fails or an invoice is overdue, we may notify you, retry an authorized payment, restrict work, unpublish a site or suspend affected hosting and platform access. We ordinarily provide notice and a reasonable opportunity to cure when practicable. Immediate restriction may be necessary for fraud, security, illegal activity, provider action or a material threat to other customers. Suspension can affect connected domains, forms, email, integrations and data access.
A suspension does not by itself cancel a subscription or erase charges already due. Any continuing charge must still be authorized and for the applicable contracted period or resources being maintained. You may cancel future renewals using the methods above. We will not impose an undisclosed late fee, restoration charge or collection fee; any such fee must be previously agreed and lawful. Notify billing@dotwin.win promptly of a suspected billing error. Nothing here restricts a good-faith payment dispute, a statutory chargeback right or a complaint to a regulator.
8. Refunds
Unless your accepted order provides a more favorable right, new monthly subscriptions have a seven-day refund window and new annual subscriptions a 14-day refund window, measured from the first charge. Request a refund at billing@dotwin.win; we aim to respond within five business days. These initial windows do not restart at each renewal. After the applicable window, subscription charges are nonrefundable and partial periods are not prorated except as required by law or expressly stated here.
One-time builds, setup, prepaid hosting, milestones, domain registrations, licenses, custom work and third-party commitments are governed by the refund terms disclosed in the accepted order. We will not retroactively add a no-refund restriction to an existing order. If the order is silent, contact us so we can assess work performed, undelivered services and any mandatory refund rights. A refund for one component does not automatically cancel other separately purchased services.
9. Your responsibilities and acceptable use
You are responsible for the accuracy and legality of your content, products, claims, prices, taxes, licenses, disclosures, accessibility obligations and business operations. You must obtain rights to text, photos, trademarks, music, datasets, feeds and personal information you supply. You remain responsible for customer consents, cookie notices, marketing permissions, privacy requests and lawful use of your hosted site, unless a specific compliance service is expressly included. We do not guarantee legal compliance merely by supplying software or a template.
Protect credentials, use available security controls, restrict access appropriately and tell security@dotwin.win promptly about suspected compromise. You are responsible for authorized users acting within your account, but this does not relieve DotWin of its own legal obligations. We may rely on instructions from your designated authorized contacts and may request verification for sensitive changes.
Do not use the service for unlawful or infringing material, malware, phishing, harassment, spam, deceptive conduct, unauthorized access, circumvention of security, abusive traffic, or activities that expose others to harm. Do not resell seats or service capacity contrary to your plan. We may investigate, restrict or remove violating content, respond to lawful notices and preserve evidence as permitted by law.
Business communications and automation: you are responsible for lawful contact lists, opt-ins, suppression lists, unsubscribe handling, sender identification, recordkeeping and compliance with marketing and telecommunication laws and provider policies. Do not upload purchased or unlawfully obtained contact lists, bypass a recipient’s opt-out or use an agent to send unauthorized messages. Sending, scheduling and publishing through an integration are actions on your behalf. You must review recipients, content, permissions and automation settings; deliverability, carrier approval, social-platform access and third-party approval are not guaranteed.
Commerce, community and content tools: you remain the merchant or provider of the products and services you sell, responsible for their fulfillment, customer support, returns, taxes, licenses and disclosures. DotWin is not the seller of your products merely because you use its software. Connected payment providers have independent verification, prohibited-business and reserve requirements. Community, course and referral features do not guarantee earnings, certification or eligibility. Revenue shares, affiliate commissions and partner interests exist only under a separately accepted agreement; a platform account creates no equity or partnership.
Electronic records and AI agents: verify signatory authority, document content, retention and any requirements for a particular type of signature or transaction. DotWin does not give legal, financial or other licensed professional advice through a template, dashboard or AI output. You control delegations and are responsible for reviewing consequential automated actions. Keep integrations and permissions current and promptly revoke access that is no longer needed.
10. Fraud, prohibited content, abusive conduct and service refusal
DotWin may deny an application or order, refuse new work, restrict features, remove content, pause work, suspend access or terminate any affected service at any time when, in our reasonable good-faith judgment, there is suspected fraud, identity or payment misuse, unlawful activity, material deception, infringement, security risk, prohibited or inappropriate content, abusive conduct, a provider restriction, or another material violation of these Terms. We may act on credible risk indicators without waiting for a chargeback decision, criminal charge, court order or conclusive proof. This authority extends across the DotWin platform, hosted websites, connected tools, communications and support services.
Prohibited or inappropriate content includes scams, impersonation, phishing, malware, stolen data, unlawful goods or services, sexual exploitation, child sexual abuse material, nonconsensual intimate imagery, unlawful threats, promotion of violence, targeted hateful harassment, doxxing, or content that violates applicable law, intellectual-property rights or a hosting or payment provider’s rules. We may decline explicit adult content or other high-risk material that we reasonably determine is unsuitable for our services. We exercise these choices lawfully and do not discriminate on a legally protected basis.
You and anyone acting for you must treat our employees, contractors, partners and other users professionally. We may restrict or end service for threats, intimidation, stalking, sexual harassment, discriminatory slurs, personal attacks, repeated abusive or profane messages directed at people, coercion, knowingly false accusations used to obtain improper benefits, or repeated disruption of support after a reasonable boundary has been communicated. We may require a single authorized contact, written-only communication or reasonable contact limits and decline unsafe meetings. Good-faith criticism, an honest negative review, a refund request, a lawful payment dispute or a report to an authority is not abusive conduct by itself and is not prohibited.
When warranted by risk, we may act immediately without advance notice and need not disclose confidential detection methods or information that could compromise an investigation. Where safe and practical, we will give notice of the affected service, the general reason and any available corrective steps. You may request a review at legal@dotwin.win. We may require reasonable identity, ownership, licensing or payment verification before restoration. We do not promise restoration where risk persists, and you may not evade a restriction by opening another account or using another person’s credentials.
We may preserve relevant records, cooperate with lawful investigations and report suspected unlawful activity where permitted or required. Restriction does not transfer ownership of your content to DotWin or waive legally required access rights. Accrued lawful charges remain due; future renewals stop when we terminate the subscription. Refunds and unused prepaid service are assessed under the accepted order, these Terms and applicable law, and are not automatically forfeited merely because misconduct was suspected. We may also decline a new engagement or end a service for a lawful business reason, with reasonable notice where practical and a proportional refund for unused prepaid service when no customer breach justifies withholding it.
11. Content ownership and platform licenses
You retain ownership of materials and business data you provide. Ownership of commissioned deliverables follows your signed agreement or accepted order; absent a different agreement, custom deliverables created specifically and exclusively for you transfer upon full payment. DotWin and the relevant portfolio rights holders retain their respective pre-existing and reusable software, platforms, trademarks, brand names, domains, templates, tools, processes and general know-how. A license to use a portfolio service does not transfer ownership of its brand, intellectual property or operating company. Third parties retain their materials and licenses.
You grant DotWin and necessary service providers a nonexclusive license to host, reproduce, process, adapt, transmit and display your content solely to supply, support, secure and migrate your services and comply with legal obligations. This includes necessary backups and formatting changes. It does not give us ownership of your content or unrestricted permission to use private content in advertising.
While your service is active and paid, you receive the limited rights needed to use included DotWin software and licensed components for the purchased service. A hosted site or lifetime marketing label does not automatically include source code, a third-party vendor account, perpetual hosting or a transferable software license. The precise duration and conditions of any lifetime offer are those expressly stated in its accepted order.
12. Data, backups and exit assistance
We use reasonable measures to protect hosted information, but no system, backup or transmission is completely secure or error-free. Keep independent copies of essential content and records. Backup frequency, restoration commitments and disaster-recovery services are included only to the extent specified in your plan. We do not promise recovery of every version, deleted item or third-party system.
Before cancellation or termination, request export or transition assistance. We will provide a reasonable opportunity, ordinarily 30 days after termination when technically feasible and lawful, to request available customer-owned content. This does not promise that a suspended website remains publicly live or that every vendor format can be exported. Additional migration labor or provider charges require a disclosed, agreed fee. Legal privacy and access rights are not conditioned on payment of unrelated debts.
After the applicable recovery period, hosted copies may be deleted subject to backup cycles, fraud prevention, legal holds and record-retention obligations. Billing records, agreement screenshots and audit evidence may be retained for legal and accounting purposes as described in the Privacy Policy.
13. Third parties, integrations and AI
Third-party hosts, registrars, payment processors, app stores, social networks, search engines, AI providers and other vendors operate independently and may change prices, terms, APIs, features or availability. We are not their insurer and do not guarantee services beyond our control. We remain responsible for our own contractual obligations and reasonable provider selection and administration; vendor failures do not excuse obligations that cannot legally be disclaimed.
AI-assisted content or automation can be inaccurate, incomplete, biased or infringing. Review important outputs, communications and business decisions before use. Do not provide restricted or sensitive information to an AI feature without an appropriate agreement and lawful authority. We do not promise specific revenue, lead volume, search position, deliverability, conversion, legal outcome or business result.
These requirements apply across the portfolio, including AI or automation features offered through ARKZ.AI, NOTA.AI and connected portfolio services. Automated outputs, notes, summaries and recommendations are aids to your judgment. You remain responsible for reviewing and authorizing communications, actions and consequential decisions, maintaining necessary records, and meeting the obligations of your profession or business. Access to an AI feature does not authorize impersonation, unlawful surveillance, deception or use of information you are not entitled to process.
14. Confidentiality
Each party will use reasonable care to protect the other's nonpublic business information received to perform the services, use it only for that purpose, and disclose it only to people and providers who need it and are subject to appropriate duties. This does not cover information already lawfully known, independently developed, received lawfully without restriction, or public without a breach. Required legal disclosures are permitted, with notice where lawful and practicable. Personal information is additionally governed by the Privacy Policy and applicable data-protection terms.
15. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN A SIGNED AGREEMENT OR THESE TERMS, SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. THE CONTRACTING PROVIDER AND OTHER PROTECTED PARTIES DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DO NOT WARRANT UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE OPERATION. NO ADVICE OR INFORMAL STATEMENT CREATES AN ADDITIONAL WARRANTY.
These exclusions do not remove warranties, duties or remedies that applicable law does not allow to be excluded. The 99% target is subject to Section 4 and does not override mandatory rights.
16. Limits of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OPPORTUNITY, GOODWILL OR DATA, ARISING FROM THE COVERED SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. TO THAT SAME EXTENT, THE COMBINED TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES ARISING FROM OR RELATING TO THE SERVICE GIVING RISE TO A CLAIM WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID THE APPLICABLE CONTRACTING PROVIDER FOR THAT SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS IS A COMBINED LIMIT FOR RELATED CLAIMS ABOUT THAT SERVICE, NOT A SEPARATE LIMIT FOR EACH AFFILIATE, BRAND OR PERSON NAMED IN A CLAIM.
These limitations apply across contract, tort and other theories to the extent lawful. They do not limit liability for fraud, willful misconduct, gross negligence, or any other liability that applicable law prohibits limiting, including nonwaivable consumer or privacy remedies. Some jurisdictions do not permit particular exclusions, so those exclusions apply only to the lawful extent. The agreed price reflects this allocation of risk.
Each separately organized portfolio entity is responsible for its own contractual obligations and conduct. Common ownership, shared branding, personnel, infrastructure or administrative support does not by itself create a parent-company guarantee, agency, joint venture, partnership, joint liability or responsibility for another entity's debts. No member, manager, shareholder or affiliate provides a personal or cross-company guarantee unless it expressly does so in an authorized written agreement. These provisions do not eliminate responsibility for a party's own actionable conduct, an express guarantee, or liability that applicable law imposes despite entity separateness.
17. Third-party claims
To the extent permitted by law, you will defend and indemnify the Protected Parties against third-party claims, damages, judgments and reasonable legal costs resulting from your unlawful content, infringement of another's rights, unlawful collection or use of personal data, or material breach of these Terms. This does not cover the portion of a claim caused by the breach, negligence, willful misconduct or violation of law of the party seeking protection.
The party seeking protection will promptly notify you of a covered claim, allow you reasonable control of its defense using qualified counsel, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault for a Protected Party, requires nonmonetary obligations or fails to release that party without its written consent, not unreasonably withheld.
18. Termination and events outside reasonable control
Either party may terminate for a material breach that remains uncured after reasonable written notice and opportunity to cure when a cure is possible. DotWin may act immediately for serious abuse, legal requirements or security threats. We may discontinue a service on reasonable notice, with the unused-prepayment remedy in Section 2 when applicable. Termination ends access and licenses tied to the service; payment obligations already incurred, confidentiality, ownership, lawful evidence retention and dispute provisions survive as needed.
Neither party is liable for delay caused by events outside its reasonable control, such as natural disasters, war, government action, widespread network failures or utility outages, while using reasonable efforts to mitigate. This does not excuse amounts already due, eliminate mandatory remedies or authorize billing indefinitely for a permanently discontinued service.
19. Disputes, governing law and general terms
Contact legal@dotwin.win with a description of a dispute and your requested resolution so we can attempt to resolve it. Informal discussion is not a condition on urgent relief, filing within a legal deadline, a regulator complaint or exercising a nonwaivable right. These Terms are governed by Texas law, excluding conflict-of-law rules. Unless mandatory law requires otherwise, disputes are brought in courts of competent jurisdiction in Texas in the county of DotWin’s principal Texas office, or the federal district encompassing that office, and the parties consent to those courts. Mandatory consumer protections and jurisdiction rights in your place of residence remain unaffected. These Terms do not impose mandatory arbitration or a waiver of nonwaivable rights.
If a provision is unenforceable, it will be limited to the lawful extent and the remainder remains effective. A delay enforcing a right is not a waiver. You may not assign the agreement without our reasonable written consent, except as allowed by law. The contracting provider may assign the agreement to a successor or affiliate in a merger, acquisition, reorganization or sale of the relevant business or assets, subject to existing obligations, legally required notices and nonwaivable rights. Assignment does not authorize undisclosed charges, reduce promised prepaid services or permit personal information to be used contrary to applicable privacy obligations. Neither party becomes the other's employee, agent or partner by using the service.
We may update these Terms prospectively. Material changes will be posted here and communicated to affected account owners by email or a prominent service notice before taking effect where required. We will request a new acceptance when required; posting new terms alone is not authorization for new charges. Keep your email current and retain a copy of your order and these Terms. Legal notices: legal@dotwin.win. Billing and cancellation: billing@dotwin.win. Privacy: privacy@dotwin.win. DotWin LLC.
20. Portfolio-specific activities and separate agreements
Holding-company activities and equity interests. These Terms govern covered services; they do not themselves constitute an offer to sell securities, a solicitation to invest, investment advice or a commitment to provide financing. Purchasing a subscription, using a portfolio platform, referring a customer, contributing content or being described informally as a partner does not grant equity, voting rights, profit participation, distributions or ownership in DotWin LLC or any portfolio holding. Any actual investment, ownership grant, joint venture, revenue-sharing arrangement, acquisition or other capital transaction requires its own applicable written agreements, authorizations and legal compliance. Those agreements govern their subject matter. No particular investment return, valuation, distribution, exit or business outcome is guaranteed by these Terms, and this holding-company description does not assert any regulatory registration or exemption.
Sports, profiles and recruiting. Where offered, PlaySolo.Soccer and related services provide the profile, publishing, communication or recruiting tools described in the accepted order. They do not guarantee coach responses, roster places, scholarship offers, admission, eligibility, professional representation or athletic results. Participants must provide accurate information, hold the necessary rights to photos and video, comply with applicable school, league and governing-body requirements, and use guardian authorization where required. A published profile or connection is not a representation that every participant has been screened or endorsed.
Communities, education and events. Where offered through THS.Social, Entrepreneurs.win, CEOS.win or another portfolio service, community membership, educational resources and event access remain subject to the relevant admission, participation, supervision, ticketing, refund and conduct rules. Separate participation agreements or event waivers apply only when lawfully presented and accepted; these general Terms do not replace them. Guardians and organizers must provide the supervision and permissions required by the offering. No general clause here waives a minor's nonwaivable rights or substitutes for a legally required parental notice or consent.
Parenting, wellness and professional information. General information, peer discussions, courses, AI outputs and support resources, including those offered through BeyondMom.App and other portfolio services, are informational unless a separate agreement expressly establishes a qualified professional relationship. They are not a substitute for individualized medical, mental-health, legal, tax, financial or other licensed advice. A platform subscription does not by itself establish a clinician-patient, attorney-client, fiduciary or other professional relationship. Use an appropriate emergency service for an emergency; ordinary platform messaging is not an emergency response service.
Service-specific requirements. The nature of a future portfolio holding may require additional terms, consents, eligibility rules, disclosures or regulatory arrangements. We will present applicable additional requirements through that service. These Terms provide a common contractual framework and lawful protections; they do not excuse required licenses, create consent for a new regulated activity or override mandatory law.
